About the Role
Position Summary:
Xpansiv is seeking a mid-level Legal Counsel with 3-6 years' post-admission experience in corporate and commercial law to join its Legal Department in Sydney. The role reports to the General Counsel in New York and provides legal support to several business lines across the company, including its expanding presence in Australia and India, and to the Chief Commercial Officer and Chief Strategic Officer, both of whom are based in Sydney. Xpansiv’s Legal Department supports all of the company’s business lines and operations with a team of six lawyers and professionals who manage a broad and diverse range of issues and interact daily with their in-house clients. The ideal candidate has substantive general corporate and commercial experience, is admitted to practise in NSW, and has exceptional academic credentials.
This is an exciting opportunity to work with and learn from an experienced team, both commercially and professionally, in a dynamic, next-generation global business poised for growth. The role also offers a lawyer in private practice the chance to make the move to an in-house position, and an opportunity to step into a company secretary role.
Duties:
-
Draft, negotiate and advise on customer agreements, license agreements, consulting and vendor contracts, and NDAs for various business lines including market platform trading, portfolio management and data services, transaction and brokerage services, and registry infrastructure.
-
Advise on market operations including the launch of new market products, interpretation and application of market rules, customer onboarding, KYC and related anti-money laundering and counter-terrorism financing (AML/CTF) considerations, and market risk.
-
Provide legal support for financing transactions, mergers and acquisitions and partnerships, and legal counsel on a range of general corporate matters including corporate governance, regulatory advice and compliance, data privacy, intellectual property, employment and consulting matters.
Requirements:
-
3-6 years' post-admission experience (PAE) in corporate and commercial law, gained in a law firm, in-house, or both.
-
Demonstrated expertise in commercial contracting and general corporate work.
-
Admitted as an Australian lawyer in the Supreme Court of NSW (or another Australian jurisdiction), and holding a current NSW practising certificate in good standing.
-
Minimum of 2 days a week in the Sydney office (CBD) if live within commuting distance.
-
Excellent legal research and writing skills.
-
Strong analytical and problem-solving abilities.

-
Effective communication and negotiation skills.
-
Practical and business-oriented approach.
-
Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
-
Collaborative team player with a client-focused approach.
-
Ability and comfort working collaboratively across the international community in multiple time zones.
Preferred Qualifications:
-
Combination of law firm and/or in-house experience
-
Experience in energy or environmental markets or the financial services industry
Education:
LLB or JD from an Australian university, or an equivalent qualification recognised for admission in NSW.
